Client Terms and Conditions

1. Definitions
“Client” refers to any individual, company or organisation requesting recruitment services or receiving a Candidate introduction from the Agency.
“Candidate” means any individual introduced by the Agency for employment or engagement.
“Engagement” means any form of employment, hire, consultancy or service arrangement between the Candidate and the Client (or any related party).
“Remuneration” means the Candidate’s total first-year agreed employment package including gross annual base salary, annual car allowance, sign-on bonuses, and, where a company car is offered in lieu of allowance, a fixed equivalent value of £6,000.
2. Acceptance of Terms
The Client accepts these terms in full by requesting or using the Agency’s recruitment services. These terms apply regardless of whether the Client signs a copy of this agreement.
3. Introductions and Engagements
An introduction occurs when the Agency shares any Candidate information with the Client. If the Client engages the Candidate at any time within 12 months of introduction - whether directly or indirectly - a placement fee is due.
4. Placement Fee
The placement fee is 30% of the Candidate’s total agreed first-year Remuneration. This includes:
- Annual base salary
- Annual car allowance (or £6,000 if a company car is provided)
- Any sign-on bonuses agreed at offer stage
Invoices are due within 7 days of the Candidate’s confirmed start date. VAT will be added where applicable.
5. Replacement Guarantee
If a Candidate leaves or is terminated within 90 calendar days of starting their role (excluding redundancy, restructuring, or changes to role or reporting lines), the Agency will provide a one-time replacement Candidate free of charge, subject to:
- Full invoice payment made within the due date
- Written notice provided within 7 days of the Candidate’s departure
- The job title, location, salary, and scope of the original role remaining unchanged
If the above conditions are not met, the replacement guarantee will not apply.
6. Introductions to Third Parties
If the Client refers the Candidate to any third party (including affiliated companies or clients) and that party engages the Candidate within 12 months of the original introduction, the Client remains liable for the full fee.
7. Candidate Suitability
The Agency will take reasonable steps to assess the suitability of each Candidate but makes no guarantees or warranties regarding a Candidate’s accuracy of credentials, qualifications, experience or performance. The Client is responsible for conducting all background, reference, and eligibility checks.
8. Limitation of Liability
The Agency accepts no liability for any loss, cost, damage, or expense suffered by the Client arising from the introduction, engagement, or performance of a Candidate. Nothing in these terms excludes liability for fraud or for death or personal injury caused by negligence.
9. Confidentiality
All Candidate information must be treated as confidential. Any disclosure to third parties without prior written consent may result in a full fee being charged if the Candidate is subsequently engaged.
10. Termination of Assignment
The Client may terminate a recruitment request at any time. However, these terms shall continue to apply to any Candidate introductions made prior to termination.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Client is incorporated. Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
12. Amendments
Any amendment to these terms must be agreed in writing by a director of Atlas Global Talent.
